Agreement to terms
These Terms of Service ("Terms") govern your access to and use of vertropic.com and any services made available through it (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site. If you have any questions, contact us at hello@vertropic.com.
Eligibility
The Site is intended for business professionals and organizations. By using the Site, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the entity you represent.
Our services
Vertropic provides authority positioning, media placement, and related services. The specific scope, deliverables, fees, and timelines of any engagement are defined in a separate written agreement between Vertropic and the client. Nothing on this Site constitutes a binding offer, a contract, or a guarantee of specific results, except as expressly set out in a signed agreement.
Client accounts
Certain features, such as client dashboards, may require an account that we provision for active clients. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Please notify us promptly of any unauthorized use.
No guarantee of sales or outcomes
Our services are designed to strengthen credibility, visibility, and positioning. We do not promise specific sales, revenue, rankings, or business outcomes. Any guarantee we offer applies only to the deliverables within our control, as described on our Guarantee page and in your engagement agreement.
Fees and payment
Fees for services are set out in your engagement agreement. Unless otherwise agreed in writing, fees are due as invoiced and are non-refundable once work has commenced. You are responsible for any applicable taxes.
Intellectual property
The Site, its content, design, and the Vertropic name and brand are owned by Vertropic and are protected by applicable intellectual-property laws. You may not copy, reproduce, or reuse them without our prior written consent. Assets we create for a client are governed by that client's engagement agreement.
Acceptable use
You agree not to misuse the Site, interfere with its operation, attempt to gain unauthorized access to any part of it, or use it for any unlawful, harmful, or fraudulent purpose.
Third-party links and services
The Site may reference or link to third-party websites, tools, or services that we do not control. We are not responsible for the content, policies, or practices of any third party, and your use of them is at your own risk.
Disclaimers
The Site and its content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
Limitation of liability
To the fullest extent permitted by law, Vertropic and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site.
Indemnification
You agree to indemnify and hold harmless Vertropic and its team from any claims, liabilities, damages, and expenses, including reasonable legal fees, arising out of your use of the Site or your breach of these Terms.
Governing law
These Terms are governed by and construed in accordance with applicable law, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of competent jurisdiction, unless otherwise agreed in writing.
Changes to these terms
We may update these Terms from time to time. When we do, we will update the date above. Your continued use of the Site after the changes take effect means you accept the revised Terms.
